Retail Matchmaking Services Terms & Conditions

1. Introduction & Mandatory Disclaimer

1.1 These Terms & Conditions (“Terms”) govern the use of the retail matchmaking services (“Services”) provided by Retail Space Share (“Company,” “we,” “us,” or “our”). By accessing or using our Services, you (“Client,” “User,” “Buyer,” or “Seller”) agree to these Terms.

1.2 ABSOLUTE DISCLAIMER: The Company is not a real estate brokerage, broker, or salesperson registered under the Ontario Trust in Real Estate Services Act, 2002 (TRESA). We do not provide real estate brokerage services, nor do we represent any party in a fiduciary capacity. Our Services are strictly limited to business-to-business (B2B) introductions and lead generation.


2. Nature of Services

2.1 The Company provides matchmaking, introductions, lead generation, and facilitation of communication between retail buyers and retail sellers. 2.2 The Company does not:

  • Represent either party as an agent or fiduciary;

  • Negotiate transactions or terms;

  • Provide legal, financial, or real estate advice;

  • Guarantee the performance, quality, or legitimacy of either party. 2.3 Any agreements or contracts entered into between the introduced parties are solely between those parties. The Company is not a party to any transaction.


3. No Real Estate Function (The “Ontario Shield”)

3.1 Non-Licensed Activity: The Company does not engage in “trading” in real estate as defined by Ontario law. The Company and its representatives will not:

  • Negotiate or assist in the negotiation of price, terms, or conditions of any lease, sale, or exchange of real property;

  • Draft, provide, or complete any Agreement of Purchase and Sale, Lease Agreement, or Letters of Intent;

  • Show properties or provide physical access to any retail space;

  • Provide Opinions of Value for the purpose of a real estate trade;

  • Hold, manage, or oversee any deposits, trust funds, or escrow payments. 3.2 Informational Purposes Only: Any descriptions of retail locations or spaces provided through the Services are for informational matchmaking purposes only. Users are solely responsible for verifying the accuracy of such information.


4. Client Responsibilities & Due Diligence

4.1 Clients agree to:

  • Provide accurate and up-to-date information;

  • Communicate honestly and professionally;

  • Conduct their own thorough due diligence on any matched party;

  • Comply with all applicable laws and regulations. 4.2 Professional Representation: Because the Company does not act as a real estate agent or legal advisor, the Client is strongly advised to retain their own Ontario-licensed real estate lawyer, accountant, or registered real estate professional to finalize any formal transactions.


5. Fees & Payment

5.1 Service Fees: Fees are for the provision of data access, matchmaking, and administrative facilitation. 5.2 No Commission: No fee charged by the Company shall be deemed or construed as a “real estate commission.” Fees are not contingent upon the successful closing of a real property transaction. 5.3 Non-Refundable: All fees are non-refundable unless otherwise specified in writing.


6. No Guarantees or Warranties

6.1 The Company provides Services on an “as-is” and “as-available” basis. 6.2 We do not guarantee:

  • Successful matches or transaction completion;

  • Profitability or business outcomes;

  • The accuracy of information provided by other users. 6.3 Users assume all risks associated with any introductions resulting from our Services.


7. Limitation of Liability

7.1 To the fullest extent permitted by law, the Company is not liable for any losses, damages, disputes, fraud, or failed transactions arising out of interactions between matched parties. 7.2 The Company’s total liability for any claim arising out of these Terms shall not exceed the total fees paid by the Client to the Company in the twelve (12) months preceding the claim.


8. Indemnification

You agree to indemnify and hold harmless the Company, its owners, and contractors from any claims, damages, or expenses (including legal fees) arising from your use of the Services or transactions formed through our introductions.


9. Privacy & PIPEDA Compliance

9.1 The Company’s collection and use of personal information are governed by our Privacy Policy and comply with the Personal Information Protection and Electronic Documents Act (PIPEDA). 9.2 Information may be shared with potential matches for the purpose of facilitating introductions. 9.3 By providing an email address, you consent to receive electronic communications related to the Services as per Canada’s Anti-Spam Legislation (CASL).


10. Intellectual Property

All content, branding, methods, and materials provided by the Company are the intellectual property of the Company and may not be copied, resold, or redistributed without written permission.


11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties irrevocably submit to the exclusive jurisdiction of the courts in the Province of Ontario.
